SanomaWSOY Corporation's share capital has increased by EUR 293,814.27 corresponding to 683,289 shares due to 10,800 shares subscribed with 2001A stock options and 600 shares subscribed with 2001B stock options, as well as convertible capital note conversion. A total of 1,069 notes of SanomaWSOY's convertible capital notes were converted into 671,889 shares.

The increase of share capital was entered into the Trade Register on November 9, 2006 and the trading with the new shares begins on November 10, 2006.

In 2006, the conversion period of the SanomaWSOY convertible capital notes ends on November 30, 2006, and any shares converted before this date entitle their holder to receive the dividend for the financial year 2006. The imputed conversion price of a share is EUR 15.91. A fixed annual interest of 5.25% is payable on the notes and the last interest payment will be made on the maturity date, i.e. July 4, 2007.

When issued, the loan totalled EUR 200 million. After the conversion, the loan amounts to EUR 57.5 million. After the now registered share capital increase, mandates regarding convertible capital notes conversion totalling some EUR 18 million are given for share conversion.

SanomaWSOY's convertible capital notes converted into the new shares entitle their holders to a dividend for the first time for the financial year during which the conversion has taken place. Other shareholder rights commence from the date on which the increase in share capital is entered into the Trade Register.

Different from the convertible capital loan, for the new shares subscribed with stock options, all shareholder rights commence from the date on which the increase in share capital is entered into the Trade Register.

In total, SanomaWSOY's share capital increased from EUR 69,139,417.49 to EUR 69,433,231.76, and the number of shares increased from 160,789,343 to 161,472,632 after the stock option subscription and convertible capital notes conversion.

SanomaWSOY announced the Warrant Scheme 2001 on January 31, 2002.

SanomaWSOY informed about the previous share conversion with 2001 stock options as well as conversion of the capital notes on October 5, 2006.
